These Terms of Service ("Terms") govern your use of the services, applications, websites, and products (collectively, the "Services") provided by MOBINUX LLC ("MOBINUX," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By accessing, browsing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and MOBINUX LLC.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Services Description

MOBINUX LLC provides software development services, including but not limited to:

  • Mobile application development for iOS and Android platforms
  • Web application and website development
  • Software-as-a-Service (SaaS) platform development
  • E-commerce solutions and Shopify application development
  • AI and automation integration services
  • Technical consulting and software architecture design
  • Ongoing maintenance and support services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. User Accounts

Certain features of our Services may require you to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept all responsibility for all activities that occur under your account
  • Immediately notify MOBINUX of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or incomplete, or if you violate any provision of these Terms.

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, images, audio, video, software, and code — are the exclusive property of MOBINUX LLC and are protected by international copyright, trademark, patent, and other intellectual property laws.

4.2 Client Deliverables

Upon full payment of all fees associated with a project, ownership of the final deliverables (as defined in the applicable project agreement) shall transfer to the client, unless otherwise specified in a separate agreement. MOBINUX retains the right to use general knowledge, techniques, and experience gained during the project.

4.3 Third-Party Components

Our Services may incorporate third-party software, libraries, or components. Such components are subject to their respective licenses, and your use of them is governed by those licenses.

5. Payment Terms

Payment terms are established in individual project agreements or service contracts. General payment terms include:

  • All fees are quoted in the currency specified in the proposal or contract
  • Payment schedules are outlined in the project agreement and must be adhered to
  • Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law
  • We reserve the right to suspend Services for overdue payments exceeding 15 days
  • All fees are non-refundable unless otherwise stated in the project agreement

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. Confidential information includes, but is not limited to:

  • Business plans, strategies, and financial information
  • Technical specifications, source code, and algorithms
  • Customer data and user information
  • Trade secrets and proprietary methodologies

This obligation of confidentiality survives the termination of these Terms and any related agreements for a period of three (3) years.

7. Warranties & Disclaimers

Our Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, MOBINUX LLC disclaims all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of any content
  • Warranties that the Services will be uninterrupted, secure, or error-free

MOBINUX does not warrant that any defects will be corrected or that the Services or servers are free of viruses or other harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MOBINUX LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total aggregate liability exceed the amount you paid to MOBINUX LLC in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless MOBINUX LLC, its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit through our Services

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability
  • Any outstanding payment obligations shall remain in effect

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MOBINUX LLC is registered, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Modifications to Terms

MOBINUX LLC reserves the right to modify or replace these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

We encourage you to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.
